Company History
Michael J. Saylor founds MicroStrategy in November 1989 and serves as Chairman and Chief Executive Officer for the next 33 years.
The company registers its common stock under Section 12(g) on 10 June 1998 and lists on Nasdaq, where the Class A shares still trade as MSTR.
The board adopts a policy of holding bitcoin as the primary treasury reserve asset. Everything that follows - the converts, the preferred stack, the ATM programmes - is a way of buying more of it.
A 10-for-1 stock split is distributed after the close on 7 August 2024 and the stock trades split-adjusted from 8 August; every per-share figure before it in this data set is restated on the post-split basis. The share count and the bitcoin stack both compound through the year.
MicroStrategy Incorporated begins doing business as Strategy in February 2025 and files the certificate of amendment changing its legal name to Strategy Inc on 11 August 2025. On 1 January 2025 it adopts ASU 2023-08, so bitcoin is carried at fair value through earnings rather than at impaired cost - the change that makes GAAP net income a bitcoin-price readout. Four perpetual preferred series - STRK, STRF, STRD and STRC - list on Nasdaq during the year.
Bitcoin holdings reach approximately 843,775 by 26 July, up 25% year to date, while the bitcoin price falls. In the June quarter the company retires 18% of its convertible principal at a discount, starts a BTC Monetization Program, authorises a $1.0 billion share buyback, and splits its reporting into Software and Bitcoin segments.
