Why R40 is not meaningful yet

Sandy Springs Holdings, Inc. files a Form 10 registration statement on 27 October 2020. It has no operations.

2021

A July 2021 reverse merger turns the shell into an immersion-cooled bitcoin mining and hosting business under Jonathan Bates. The stock trades over the counter; annual revenue never exceeds $3.4 million.

2025
Reverse split, NYSE American listing, and the pivot to ether

A 1-for-20 reverse split takes effect on 15 May. On 4 June the company prices 2,250,000 shares at $8.00 through ThinkEquity and lists on the NYSE American. Tom Lee is elected chairman on 28 June; the ETH Treasury Strategy starts on 30 June; the 8 July private placement raises roughly $213 million of cash plus a crypto-denominated tranche. Jonathan Bates resigns on 12 November and Chi Tsang is appointed CEO the same day.

The common stock moves from the NYSE American to the New York Stock Exchange on 9 April. BitMine is added to the Russell 1000 on 26 June and lists its Series A Preferred on the NYSE as BMNP. By 30 August it holds 5,901,112 ETH - 4.9% of the 120.7 million ETH supply - with 5,067,309 of them staked, and total crypto, cash and moonshot holdings of $15.6 billion.

Key Players

Chi Tsang
Chief Executive Officer & Director
Appointed CEO on 12 November 2025, the day Jonathan Bates resigned. A CFA charterholder who spent a decade at HSBC in Hong Kong as head of China internet research and then head of Asia-Pacific technology, media and telecom investment banking, and before that was global head of technology research at Neuberger Berman. He founded the venture firm m1720 in 2023 and teaches venture investing at Fordham's Gabelli School of Business. He runs a company whose income statement is now dominated by the mark on 5.9 million ETH rather than by anything an operator controls.
Young Kim
Chief Financial Officer, Chief Operating Officer & Director
Took over as CFO and COO on 1 January 2026 and joined the board on 23 January 2026, succeeding Raymond Mow. Previously a partner and senior portfolio manager at Axiom Investors and, for a decade before that, a senior portfolio manager at Columbia Threadneedle running emerging-markets money. He signs the cash-flow statement of a balance sheet that went from $8.3 million of assets to $11.6 billion in four quarters.
Thomas "Tom" Lee
Chairman of the Board
Elected to the board and made chairman on 28 June 2025, two days before the ETH treasury strategy began. Managing partner and head of research at Fundstrat Global Advisors and chief investment officer of Fundstrat Capital. He is the public voice of the company: the weekly Reg FD 8-K that reports the ETH count is quoted in his name, and the equity trades on his thesis about the ETH/BTC ratio far more than on anything in the revenue line.
