Intel closed at $121.78 on Monday 21 September, up 12.14%, and one sum ran repeatedly on X: 433.3 million shares bought at $20.47 last August, worth $52.2 billion on their quote, the taxpayer up $43.3 billion. The arithmetic checks; the share count does not. Intel's latest filing leaves 143 million of those shares in escrow, and on the 290 million Commerce holds, our figure is $29.4 billion.
The agreement carries two prices, and $20.47 is neither
Commerce agreed on 22 August 2025 to $8.8698 billion of disbursements: $5.695 billion accelerated out of Intel's existing CHIPS Act award under the November 2024 Direct Funding Agreement, and $3.1748 billion under Secure Enclave, payable only as Intel performs.
274,583,000 shares were issued at closing at $20.74, the accelerated funds over the count, and 158,740,000 went into escrow at $20.00, exactly the Secure Enclave money. Whole over whole gives $20.4693, the blend now circulating as $20.47, and it appears in Intel's release, not the agreement, where no share was priced at it. Nor were they bought. The filing calls them "compensation to the US Government for, and as a condition to the DOC's willingness to permit, the Disbursements", grants already awarded and released early, their milestones struck out by an amendment signed the same day.
Escrow has released about 15.7 million shares in thirteen months
Escrowed shares reach Commerce only as Secure Enclave cash reaches Intel, $20.00 a share. Intel's report for the quarter ended 27 June 2026 leaves 143 million still in escrow, 7 million released in the quarter and 13 million across the half.
So count what has changed hands. 158,740,000 less 143 million leaves 15.7 million released at $20.00 each, or $314.8 million. Add the 274,583,000 issued at closing and Commerce holds 290.3 million shares for $6.01 billion, worth $35.36 billion at $121.78, a gain of $29.35 billion. That is 5.8% of Intel's 5,043 million shares, against the 9.9% the release advertised on the pre-deal count. The multiple survives, 5.88× against 5.95×, so "five-bagger" is fair. The dollar figure breaks by $14.6 billion, all of it shares nobody has delivered.
Thirteen million in a half annualises to 26 million, 5.5 years to drain the escrow. Whatever remains when eligibility closes splits in half, released to Commerce for no further money or cancelled, and Intel already divides the 143 million into 71 and 71.
Intel last marked the escrow at $128.32, and the stock is below it
Those 143 million shares are a derivative liability, remeasured quarterly. It stood at $15.57 billion at 27 June against $2.65 billion at 27 December, and the move produced the $12.529 billion charge that turned a record operating quarter into an $11.0 billion GAAP loss. The issued shares sit in permanent equity and are never remarked; only the escrow moves.
Divide it. $15,570m ÷ 143 million = $108.88 a share. Intel closed at $128.32 on 26 June, the quarter's last session, and still collects $20.00 on each release, so the liability is $128.32 − $20.00 = $108.32. Solving for the count gives 143.7 million, which is what "143 million" rounds from.
Re-mark at Monday's $121.78 and the liability falls to $14.55 billion. Intel's third quarter is tracking a $1.0 billion mark-to-market gain, about $0.20 on 5,104 million diluted shares, rather than another charge. Guidance cannot absorb it: Intel guided $0.31 of GAAP diluted EPS against $0.38 non-GAAP, seven cents apart.
Escrow liability and the third-quarter line are ours; $15.57bn at 27 June is Intel's
| INTC close, 25 Sep | Escrow liability | Third quarter |
|---|---|---|
| $105.00 | $12.15bn | +$3.42bn gain |
| $115.00 | $13.59bn | +$1.99bn gain |
| $121.78 (Monday) | $14.55bn | +$1.02bn gain |
| $128.32 (26 Jun mark) | $15.49bn | roughly nil |
| $140.00 | $17.16bn | -$1.58bn charge |
Each liability is the 143 million escrowed shares Intel disclosed at 27 June 2026 multiplied by the closing price less the $20.00 a share Intel still collects on release. The third-quarter column is the fall from the $15.57 billion Intel carried at 27 June. It assumes no escrowed shares are released during the quarter: each release moves fair value out of the liability and into equity at the release-date price, which changes the composition of the line rather than its direction. Intel's fiscal quarter ends Saturday 26 September, so Friday 25 September is the last session that marks it.
We said the opposite two weeks ago: our 8 September piece closed on a rally "mechanically enlarging the next reported GAAP loss". The mechanism holds, the direction was wrong, and the charge measures distance from the last mark.
A 240 million-share warrant sits outside the sum
The correction runs both ways. Commerce also holds a warrant over 240,516,150 shares at $20.00, $24.5 billion of intrinsic value on Monday and larger than the escrow the tape double-counts. It fires only if Intel ceases to own 51% of its foundry, and Intel reports it as "neither currently nor expected to become exercisable". The basis cuts the same way: if the $5.695 billion was CHIPS money already committed, those shares cost nothing at the margin.
Selling it is another matter. The transfer bar lifted on 27 August 2026, with Intel at $92.09, and only to broadly-syndicated offerings or government auctions. Escrow cannot move until released, Commerce must vote as Intel's board recommends, and a Delaware stockholder suit asks a judge to void the agreement outright.
Friday's close settles which way the quarter books it
Intel's quarter ends on Saturday 26 September, so Friday the 25th marks the escrow for the last time, and $128.32 is the line: above it the rally is a charge, below it a credit. October settles the rest, because escrow draining far faster than 13 million a half lifts 290 million toward 433 million and closes the gap on its own.
Sources. The disbursement split, the tranche prices, the share counts, the warrant terms, the forfeiture rule, the voting undertaking and the transfer restrictions are Intel's Form 8-K of 25 August 2025 and the agreement filed with it; the blended $20.47 and the "grants previously awarded, but not yet paid" characterisation are Intel's release of 22 August 2025. The escrowed balance, the release counts, the derivative liability, the charge, diluted shares, the contingency split and the Delaware suit are Intel's quarterly report for the period ended 27 June 2026, captured in our quarterly notes.
