Berkshire Crossed 10% of Lennar by One Share, Then Bought 2.7 Million More

Berkshire's Form 3 reports 21,050,601 Lennar Class A shares, one past 10% of the class. By 21 September it held 11.27%, and 5.64% of the votes.

Berkshire Hathaway filed a Form 3 on 21 September declaring itself a ten percent owner of Lennar on the 17th: 21,050,601 Class A shares. Lennar's latest cover page counts 210,506,003 Class A. A tenth comes to 21,050,600.3, and Berkshire reported the first whole number above it.

Its previous Lennar filing was a Schedule 13G signed 14 August for a 30 June event: 13,111,741 Class A, 6.2%, certified as held in the ordinary course, not to influence control. The 7,938,860 added since are priced nowhere: buying done before you are an insider is not Form 4 reportable.

The Form 4 has the rest. On 17, 18 and 21 September Berkshire bought 2,668,508 more Class A at a weighted average $77.46, $212.4m with the Class B, reaching 11.27%. Buying opened the session after Lennar's 16 September print of $1.19, which Stuart Miller called below expectations.

Lennar's Class B carries ten votes to the Class A's one, so Berkshire's two blocks hold 5.64% of the votes, against roughly 42% for Miller and family entities. The spend is 0.06% of Berkshire's $360.0bn of cash and Treasuries at 30 June. Lennar repurchased three million shares last quarter, so each percentage is a floor.
