Alibaba priced 710 million new ordinary shares at HK$112.70 on Sunday, raising HK$80.0 billion gross and HK$79.7 billion net for AI infrastructure, chips and model development. The pricing filing called that a 3.6% discount. It was — but to a Hong Kong-dollar value derived from Friday's New York receipt.
Against the Hong Kong shares being issued, the discount was 8.37%. The local line had closed Friday at HK$123.00, then traded from HK$110.10 to HK$113.50 on Monday and fell through the placement price. At HK$111.80 during the session, it was down 9.11% and sat 0.80% below the price paid by placement investors.
This is not a contradiction in Alibaba's filing. It is a reference-point problem — and in a dual-listed company, the reference decides whether a placement looks modestly discounted or deeply discounted.
The points
- Placement: 710 million ordinary shares at HK$112.70, for HK$80.0 billion gross and HK$79.7 billion net. Completion is expected on 26 August, subject to the stated conditions.
- The disclosed 3.6% discount: Alibaba compared HK$112.70 with a HK$116.95 reference price, derived from the 21 August New York receipt close of US$119.34, the eight-to-one ordinary-share ratio and a US$1 to HK$7.8399 exchange rate.
- The discount to Hong Kong: HK$112.70 against Friday's HK$123.00 local close is 8.37% — 2.33 times the headline discount.
- The local reaction: the Hong Kong line traded between HK$110.10 and HK$113.50 on 24 August. At HK$111.80 it was 9.11% below Friday and 0.80% below the placement price. These are intraday figures, not the official close.
- The filing-fixed dilution: Alibaba had 19,174,988,918 shares in issue before the placement. The 710 million new shares equal 3.70% of that count and 3.57% of the enlarged count, exactly as the filing states.
- The earlier estimate changes: yesterday's article estimated 3.89% dilution from a 2.28 billion diluted-ADS count. The pricing filing's exact issued-share count supersedes that estimate.
One placement, two valid discount calculations
Alibaba's New York receipts represent eight Hong Kong ordinary shares. Friday's US$119.34 receipt close, converted at the filing's exchange rate and divided by eight, becomes HK$116.95 per ordinary share. The placement at HK$112.70 is 3.63% below that value, rounded to the filing's 3.6%.
But the Hong Kong line itself closed at HK$123.00. On that denominator, the same HK$112.70 issue price is 8.37% lower.
| Placement comparison | Reference | Discount |
|---|---|---|
| Alibaba's ADR-derived reference | HK$116.95 | 3.6% |
| Friday's Hong Kong close | HK$123.00 | 8.37% |
Both calculations are arithmetically sound. Only one describes the gap to the local security into which 710 million new shares are being issued. That is why the local market's reaction matters: on Monday, the Hong Kong line traded on both sides of HK$112.70 and then moved below it.
Roughly $26 billion off the old diluted count
Using the 2.28 billion diluted ADS count carried for Alibaba — equivalent to 18.24 billion ordinary shares — an HK$11.20 fall from Friday's close removes about HK$204.3 billion, or US$26.0 billion, from the old diluted count. That is 2.55 times the approximately US$10.2 billion raised.
The pricing filing's 19.175 billion issued-share count produces a larger figure, about US$27.4 billion. The difference is the denominator: diluted ADS used for the first calculation, issued ordinary shares used for the second. Neither is a cash cost to Alibaba, and a one-session price move cannot be assigned entirely to the placement. The comparison is useful because it puts the market reaction and the proceeds on the same scale.
The sharper point is simpler. Alibaba sold new stock equal to 3.70% of its pre-issue shares, while the local line moved roughly 9% in the first session after pricing. The market repriced the whole company by more than twice the percentage dilution.
What the first session establishes
Trading below HK$112.70 does not mean the placement failed. The book was priced, Alibaba expects completion on 26 August, and the placement investors bought a block unavailable through ordinary market trading at that size. It does mean the issue-price cushion disappeared immediately in the local line.
It also resolves two uncertainties from yesterday's analysis. The company has now disclosed the exact pre-issue count, so dilution is 3.70% rather than the 3.89% estimate. And the final pricing announcement fixes the size and price at 710 million shares and HK$112.70; what remains conditional is completion, not the announced terms.
The portable lesson is to ask one question whenever a dual-listed company advertises a placement discount: discount to which line? A receipt and its underlying shares can imply different prices because they close in different markets at different times. Here, choosing the ADR-derived reference made an 8.37% local discount read as 3.6%.
What to watch
- The official Hong Kong close. The figures above are intraday. A close below HK$112.70 would leave placement investors immediately underwater on the local line; a recovery above it would restore a cushion.
- Completion on 26 August. Alibaba says closing remains subject to the placement conditions. The cash is not received until completion.
- The New York receipt. The 3.6% discount was anchored to the ADR, so the US session shows whether New York converges toward Hong Kong's repricing.
- The September-quarter capital expenditure line. The gross raise is about 102% of one June quarter's capex. That spending rate, not one day's share price, determines how long the proceeds fund the build.
- The buyback. Alibaba repurchased stock at roughly US$97 per ADS in the June quarter and issued this block at about US$115 per ADS. The next disclosure shows whether repurchases continued alongside the issuance.
Sources and provenance: placement size, price, gross and net proceeds, use of proceeds, expected completion, exact shares outstanding, stated dilution, the HK$116.95 ADR-derived reference and its US$119.34 receipt price and exchange-rate inputs are from Alibaba's 24 August 2026 pricing announcement and Hong Kong filing. The HK$123.00 Friday close and the HK$110.10–HK$113.50 Monday range are Hong Kong market data read during the 24 August session; HK$111.80 is an intraday quote, not a close. The 8.37% local discount, 2.33× comparison, market-value estimates and proceeds multiples are our arithmetic. Dollar conversions for the market-value comparison use the placement's HK$80.0 billion to approximately US$10.2 billion relationship.
